1. Definitions:

What do the terms used in these terms and conditions of sale mean?

- "CGV": abbreviation of "conditions générales de vente" (terms and conditions of sale).

- "SAV": After-sales service.

- "VAT": abbreviation of "Value Added Tax" (TVA). Currently at a rate of 20% in mainland France.

- "Eurozone": the geographical area covering the countries that use the Euro as their common currency.

- "DOM-TOM": refers to the French overseas departments and territories open to shipping.

- The "Seller": refers to the company JDM Distribution, owner of the site hubshop.fr, a single-shareholder SAS (simplified joint-stock company) registered with the Bordeaux Chamber of Commerce under Siret number 538 265 190 00040.

- The "Buyer": refers specifically to you as the customer, a non-professional private individual residing in the Eurozone, subject to French VAT and to consumer law, and for whom these Terms and Conditions of Sale are mandatory.

- The "Buyer residing in the DOM-TOM": refers specifically to you as the customer, a non-professional private individual subject to consumer law, residing in the Eurozone but not subject to mainland France VAT, and for whom these Terms and Conditions of Sale are mandatory.

- The "Buyer outside the Eurozone": refers specifically to the customer, a non-professional private individual not subject to consumer law, residing outside the Eurozone (Andorra, Switzerland...) and not subject to French VAT.

- The "Carrier": means the independent transport company responsible for delivering your item to the delivery location you have specified.

- The "terms and conditions of sale": the terms that apply to all sales and are intended for all customers.

- The "special terms": terms that apply to certain sales only. Article of the terms and conditions of sale specifically intended for professional buyers or buyers residing outside the Eurozone.

- The "sales medium": refers to the Seller's website, in this case hubshop.fr.

2. Purpose

The purpose of these terms and conditions of sale is, on the one hand, to inform any prospective Buyer of the terms and conditions under which JDM Distribution (operating here under the name of its website and its trade name "hubshop"), hosted on the website hubshop.fr (the "Seller"), sells and delivers the products ordered. On the other hand, they define the rights and obligations of the parties in connection with the sale of products by the Seller to the Buyer. They apply, without restriction or reservation, to all products and services offered by the Seller on its website.

Consequently, the purchase by any person of one or more products offered for sale by the Seller constitutes full and complete acceptance of these terms and conditions of sale, which the Buyer acknowledges having read prior to placing the order. This acceptance is confirmed by a box that you check during the ordering process.

The products are offered for sale in the geographic territory shown in step 1 of the cart, in the shipping cost estimator based on your country and postal code.

Prior to placing an order, the Buyer declares that they have full legal capacity to enter into commitments under these terms and conditions of sale. JDM Distribution reserves the right to modify these terms and conditions of sale at any time, without notice.

4. Site Access

The Buyer is personally responsible for setting up the IT and telecommunications equipment needed to access the Seller's sales medium or the email address stated above. The Buyer bears the telecommunications costs incurred when accessing the Internet and using the various websites. During the ordering process, a checkbox indicating that you have accepted these terms and conditions of sale is displayed. Checking this box means that you have read and accepted these terms and conditions of sale without reservation, and gives you access to the payment methods to complete your order.

5. Contract Formation and Orders

5.1. Prices

The sale prices of the products sold online by the Seller, stated in euros, are those in effect at the time the Buyer's purchase is recorded.

They do not include shipping costs (except for stated promotional offers), which are charged in addition to the price of the purchased products based on shipping distance, size and/or weight. These costs are borne by the Buyer. Shipping costs are clearly indicated in the order summary and/or in the cart summary, before the Buyer makes payment. Shipping costs are set by carriers and/or La Poste, or are flat-rate, and may therefore vary from one provider to another or from one date to another, without the Seller being held liable. Any claim regarding these costs must be made before payment. Otherwise, these shipping costs will be deemed accepted.

For Buyers residing in the French overseas departments and territories open to shipping, shipping costs and product prices are stated excluding taxes. No taxes, dock dues (octroi de mer) or any other taxes will be applied when the order is placed. The Buyer alone shall be responsible for paying them to the competent authorities. Prices include the value added tax (VAT) applicable on the date of the order, for any resident of the relevant Eurozone. Any change in the applicable VAT rate will automatically be reflected in the price of the products sold by the Seller. Buyers residing in the French overseas departments and territories (DOM-TOM) or outside the Eurozone should refer to the specific conditions.

Under the European regulations on the treatment of waste electrical and electronic equipment (decree of July 20, 2005), an environmental contribution will, as of 11/15/2006, be gradually included in the price paid for certain products or equipment. It will be displayed on the listing if the product sold is concerned.
The sale prices of the products may be changed by the Seller at any time. This change will be visible to the Buyer before any purchase, by viewing the product page.

5.2. Product Characteristics - Availability

In accordance with Article L 111-1 of the French Consumer Code, the Buyer may, prior to purchase, review on the Seller's website or on the manufacturers' websites the essential characteristics of the product(s) they wish to order. The description is not exhaustive, however, and JDM Distribution encourages any potential Buyer to contact it to obtain any precise or additional information. The products offered for sale by the Seller are intended solely for "motorsport" use. Manufacturers may therefore change the design of the products in order to improve their effectiveness. Such changes will always be made for the purpose of improvement. The full product description, visible on the product page, is the most accurate representation of the product ordered. The photographs, graphics and descriptions of the products offered for sale are for information only and are in no way binding on the Seller. Photographs are non-contractual and are used for illustration only. The Seller invites the Buyer to contact it before any purchase to obtain additional descriptions and/or photographs of the products. Failing this, the Buyer will be deemed to have been informed.

Should a supplier, manufacturer or subcontracted distributor modify a product, its graphic representation shall not engage the Seller's liability nor affect the validity of the sale. However, the photos and illustrations presented here show finished products. Any use (visual or descriptive) of the items purchased or displayed is strictly prohibited without the prior consent of the Seller and the manufacturer.

Offers presented by the Seller are valid while stocks last and subject to the commercial partnerships in place with Suppliers, except for unique products resulting from handcrafted and/or special production. For products not stocked in its warehouses, offers presented by the Seller are valid subject to availability from its Suppliers/Manufacturers and subject to these products remaining in the Suppliers'/Manufacturers' catalogs. If the product ordered is unavailable, the Seller will inform the Buyer as soon as possible and will offer an alternative or a Cancellation/Refund of the order. The Seller reserves the right to modify its product range, in particular according to constraints related to its Suppliers/Manufacturers or subcontractors or to its commercial strategy.

Unless the Seller indicates a longer lead time, the products ordered will be delivered within a maximum of thirty business days from the day following the day on which the Buyer placed the order, subject to full payment of the price. In accordance with Article L. 121-20-3, paragraph 1, of the French Consumer Code, if the Seller fails to deliver the goods or service within seven days after the 30-day deadline, the Buyer may obtain cancellation of the sale by sending the Seller a registered letter with acknowledgment of receipt. The Buyer may also obtain a refund of the amounts paid in accordance with the provisions of Article L.121-20-1 of the French Consumer Code. In accordance with the provisions of Article L121.20.3 of the French Consumer Code, in the event of unavailability, the Seller may offer to supply a product of equivalent quality and price. If all conditions are met, the refund will be made, at the Seller's discretion, by bank transfer or through the payment method chosen by the Buyer when placing the order, if that method allows it. If necessary, the Buyer will then be asked to provide bank account details (RIB).

All lead times given by the Seller to the Buyer, including by email or phone, are always stated in business days.

5.3. Orders

Placing any order implies unrestricted and unreserved acceptance of these terms and conditions of sale. This acceptance is recorded by a box that you check during the ordering process. The Buyer's "double click" or "single click" on the order form constitutes an electronic signature which, between the parties, has the same value as a handwritten signature.

For any purchase, the Buyer selects the products they wish to purchase by clicking the "add to cart" icon or button. A screen summarizes their cart. The Buyer is always offered the option to withdraw at any point during the ordering process. By paying for their purchases, the Buyer is deemed to have knowingly and unreservedly accepted these terms and conditions of sale, as well as the prices, volumes and quantities of the products offered for sale and ordered.

For any purchase, the Buyer's order will be confirmed to the Buyer by email, at the address entered when placing the order. The sale will only be considered final once the Seller has sent the Buyer the order confirmation and has received the full price. When the order is validated and payment is accepted, the order status changes to "payment accepted". This information can be viewed in the Buyer's secure customer account on the Seller's website. The sales invoice is then issued, sent to the Buyer by email and made available in their customer account.

The Seller recommends that the Buyer keep this information in paper and electronic form. The Seller informs the Buyer that sales invoices are generated automatically by the website based on the information the Buyer has entered. It is important to enter shipping and billing addresses that match your needs, because invoices cannot be modified once they have been issued.

6. Payment of the Price

6.1. Terms of Payment

The Buyer must pay the full price when placing the order. Under no circumstances may the amounts paid be considered as a down payment or deposit. The Seller will collect the full amount of the order when the order is validated or, for payments by bank transfer, check or cash money order, upon receipt. The Seller does not offer early payment discounts.

All orders are payable in euros.

To pay for their order, the Buyer may use any of the payment methods listed on the sales materials. These may include: credit/debit card, PayPal, bank transfer, Alma (2x, 3x, 4x, 10x) or check (except in cases of force majeure). These payment methods may vary depending on the Buyer's country of residence. The Seller explains to the Buyer that the payment methods made available (including installment payment methods) are services offered and in no way constitute an obligation to use them. Any dispute or problem arising in the processing of payments shall be the sole responsibility of the intermediary payment organization managing it: "Alma", "Banque Populaire" or "Paypal". For payments by card, the Buyer warrants to the Seller that they hold any authorizations required to use the payment method chosen when placing their order.

Access to the payment providers' websites: Paypal , Systempay, Alma

The Seller reserves the right to suspend or cancel any order and/or shipment, regardless of its stage of completion and its nature, in the event of non-payment of all or part of the sums owed by the Buyer, or in the event of a payment incident.

The Seller reserves the right to request a copy of the Buyer's identity document, most recent pay slip and proof of address for any payment. The Seller also informs the Buyer that payment intermediaries randomly verify the identity and creditworthiness of Buyers. A request for payment by bank card (in full or on credit) may be declined if the Buyer does not meet the security requirements set by the payment intermediaries (for example, 3D Secure). For payment by check, a creditworthiness verification period of 10 business days will apply after the check is cashed.

Regarding promotions and commercial discounts: discounts granted to Buyers are not an acquired right. The Seller reserves the right to apply them or not, to all or part of its customers, to all or part of its catalog, without having to justify the reason. They may be larger or smaller depending on the customers and/or the products. Discounts may also change according to commercial agreements with the brands and according to currency exchange rates, without prior notice.

Information relating to purchases is subject to automated data processing, declared to the CNIL, for which JDM distribution is the data controller (see legal notice). The purpose of this automated processing is to determine a level of analysis of a transaction and to combat payment fraud. The Seller is the sole recipient of data relating to orders. It reserves the right to use this information to send promotional e-mails if the Buyer has requested them, or to share it with delivery companies to help deliver the order. Failure to provide the data relating to orders prevents transactions from being carried out and analyzed. Any unpaid amount resulting from the fraudulent use of a bank account will result in the details relating to the order associated with that unpaid amount being recorded in a payment incident file maintained by JDM Distribution. An irregular declaration or an anomaly may also be subject to specific processing, particularly with the competent authorities.

In accordance with the French Data Protection Act (Loi Informatique et Libertés), the Buyer has at any time a right of access to, rectification of and objection to all of their personal data, or may request that promotional e-mails be stopped, by writing to JDM distribution by mail or e-mail and providing proof of identity.

6.2. Late payment penalties and fixed collection fee in the event of a rejected, falsified or erroneous payment.

Penalties equal to the legal interest rate plus ten percentage points shall automatically apply to unpaid amounts after a period of seven business days following the invoice date or, for any other payment method, upon notification of the bank payment rejection. In addition, a fixed collection fee equal to 8% (eight percent) of the sums claimed and/or remaining due, relating to the handling of your unpaid amounts, may be applied. This fee is automatically payable. Delivery of the current order or of any new order may be suspended in the event of late payment, notwithstanding the provisions herein. Payment of all sums remaining due may also be demanded.

If these unpaid amounts are not settled within fourteen business days of their occurrence or notification, seizure proceedings through a Bailiff (Huissier de Justice) and/or the district court (tribunal d'instance) will be initiated.

If these unpaid amounts are not paid to the appointed Bailiff, the matter may be referred to the district court (tribunal d'instance) or the commercial court (tribunal de commerce).

6.3 Payment in 2, 3, 4 or 10 installments by bank card with ALMA.

Installment payments with Alma

Installment/deferred payment is available through our partner Alma. Payment security is provided by Alma and its service providers. All payments are protected by 3D Secure.
Purchase amount

  • P2X: Only purchases between €50 and €4,000 are eligible for payment with Alma.
  • P3X: Only purchases between €50 and €4,500 are eligible for payment with Alma.
  • P4X: Only purchases between €50 and €4,500 are eligible for payment with Alma.

Fees:

  • P2X: 0.78% per transaction
  • P3X: 1.57% per transaction
  • P4X: 2.34% per transaction

Alma acts as the online payment manager and issues an electronic certificate that will serve as proof of the amount and date of the transaction in accordance with Articles 1316 et seq. of the French Civil Code.
Termination

Any termination of the terms and conditions of sale binding the Seller and the customer entails the termination of the terms of use between Alma and the customer.

If you offer payment in more than 4 installments with Alma, your customers must sign our credit agreement, read the FIPEN (standardized pre-contractual information sheet) and accept our privacy policy. You must add the statements below to the payment section of your terms and conditions of sale:

Credit payment with Alma

Payment by credit is available for settling purchases through our partner Alma; execution of the payment is conditional upon signing the credit agreement offered by Alma. The Seller accepts in advance the granting of credit concluded between Alma and the customer in accordance with Article L312-46 of the French Consumer Code. If Alma agrees to grant credit to the customer, the amount will be paid by credit in accordance with Article L312-45 of the French Consumer Code. Any refusal by Alma to grant credit for an order may result in the cancellation of that order, unless the customer agrees to pay in cash. Any termination of the terms and conditions of sale binding the Seller and the customer entails the termination of the credit agreement between Alma and the customer. In the event of withdrawal, Customers' fees and interest will be refunded to them in accordance with the regulations.
Security

Payment security is provided by Alma and its service providers. All payments are protected by 3D Secure. Alma acts as the online payment manager and issues an electronic certificate that will serve as proof of the amount and date of the transaction in accordance with Articles 1316 et seq. of the French Civil Code.
Special case

In the case of a contract for the sale of goods or provision of services with successive performance or delivered over fairly long periods, the Seller must specify in its terms and conditions of sale when delivery or supply begins; for more details, you can contact the Alma teams at [email protected].

6.4 Additional charge related to shipping.

In addition to the product price, additional shipping charges may apply in accordance with Article 8.1, regardless of any current promotions. This applies to certain bulky products that do not allow the seller to make a sale without selling at a loss, for example, due to the shipping cost charged by the manufacturer.

7. Choice of products

The Buyer, having reviewed the products sold by the Seller and their characteristics, has, under their sole responsibility and according to their needs as determined prior to any order, selected the product(s) being purchased. Furthermore, as the Buyer alone knows their preferences, measurements and constraints in terms of space or nuisance, they take full responsibility for their purchases.

The Seller informs the Buyer that they must check product compatibility with any competent professional before purchasing. The Seller makes the product reference and brand available to the Buyer on the product page or upon request from customer service at this address: , or from the manufacturers' own customer services. The Buyer will therefore be deemed to have informed themselves of the compatibility and applications of the products before any purchase.

The Seller provides the Buyer with an email inbox: The Seller states that it is exclusively the Buyer's responsibility, if they do not consider themselves sufficiently competent, to seek advice from a competent professional before purchasing. As the Seller is not an automotive professional and operates through distance selling, it is not in a position to guarantee to the Buyer the compatibility of the products with the Buyer's vehicle. In addition, the Seller provides the Buyer with "technical data sheets" that allow comparison or help with understanding technical terms. They are available on the sales websites in the "technical data sheets" section. These are in no way precise specifications but an aid to becoming familiar with the products. Product descriptions are provided by the manufacturers and are their sole responsibility. The Buyer will therefore be deemed to have informed themselves of the compatibility and applications of the products before any purchase.

8. Shipping, Costs and Lead Times

8.1 Shipping Costs

The shipping costs displayed or included in the sale price are calculated for delivery within mainland France (excluding Corsica), for the initial order. They include handling fees. For any questions, the Buyer is invited to contact the Seller before making any payment.

  • Mainland France (excluding Corsica) and Euro zone: if shipping costs are included as part of a promotional offer, no additional shipping costs are due. Otherwise, the costs indicated in the order summary apply. This summary is authoritative. Please also refer to section 20 for specific conditions.
  • Corsica: special rates imposed by carriers result in higher shipping costs. Buyers residing in Corsica must select "Corsica" as their area of residence for their order to be validated correctly.
  • Algeria, Morocco, Tunisia: due to specific rates and frequent customs disruptions at destination, invoice amounts may be rounded. The Seller cannot be held liable for parcels that are lost, stolen or subject to fluctuating customs duties.
  • French overseas departments and territories (DOM-TOM) and outside the Euro zone: costs are calculated based on the destination department and the weight/size of the products. Amounts are stated excluding taxes. Buyers concerned are expressly requested to contact the Seller at [email protected] before making any payment. The carrier will be DHL or La Poste (Colissimo registered or standard shipping). The amount of the shipping costs is visible in the cart, after logging in and entering the delivery department.

Important, DOM-TOM: for shipments via La Poste / standard shipping, the maximum insurance coverage is €1,000. In the event of loss, compensation will be limited to this amount. For full coverage, choose DHL.

8.2 General Shipping Rules

Products are delivered to the address provided by the Buyer, within the territorial limits defined in §2.

The carrier is selected by the Seller based on the most advantageous price for the Buyer, or according to the nature and weight of the products. The Seller reserves the right to replace the initially selected carrier with an equivalent service, particularly in the event of address or size constraints.

Delivery times: no carrier guarantees its transit times. The stated delivery times are indicative only. This applies to La Poste (Colissimo), DHL and any other carrier. If a claim is filed with a carrier, the compensation request may be unsuccessful or may amount to only a fraction of the original price, with no guarantee that the claim will be accepted. Regarding DHL, their "guarantee" covers the additional amount paid by the buyer over the base rate for a standard service. It does not include any other item, including taxes, fuel surcharges and return shipping costs. This goodwill gesture is decided by DHL after reviewing the claim and is by no means automatic.

Inspection upon receipt (mandatory): the contents of the parcel must be checked in the presence of the delivery driver. A damaged parcel or one whose contents have been tampered with must be refused, with the note "damaged parcel, contents damaged during transport" written on the delivery slip. Any delivery accepted without reservation is deemed compliant.

If a parcel is marked "delivered" but not received: the Buyer has 48 hours from the delivery notification to contact customer service. The Seller will request a sworn statement of non-receipt and a copy of an identity document. A claim will be opened with the carrier. No refund or reshipment will be possible until the carrier has closed the claim.

8.3 Shipping Methods

Colissimo Tracked / Registered (standard shipping)

The parcel is delivered to the Buyer's home against signature and validation of a confidential code sent by SMS or email. This code is personal and must only be given to the delivery driver in person. If the Buyer is absent, a delivery notice is left; the parcel is available at the nearest post office for 15 calendar days. Upon receipt, the Buyer checks the condition of the packaging and the contents. In the event of an anomaly, the Buyer must refuse the goods, complete a La Poste anomaly report (form 170) and report the incident to the Seller within 48 hours at [email protected]. Any acceptance without reservation constitutes acknowledgment of conformity.

Colissimo pickup point

The Buyer collects the parcel at the point selected when placing the order, upon presentation of an identity document. The Buyer checks the integrity of the parcel in the presence of the pickup point staff. In the event of an anomaly, reservations must be entered into the pickup point's computer system, or the parcel must be refused if it is damaged. Holding periods: 5 days in a Pickup Station locker, 14 days at a retail pickup point, 15 days at a post office. After this period, the parcel is returned to the sender at the Buyer's expense.

Carrier delivery (with or without appointment)

The carrier makes a first delivery attempt at the shipping address. If the Buyer is absent, a new attempt or an appointment may be arranged, or the parcel may be left at a pickup point. Upon receipt, the Buyer checks the number of parcels, their external condition and their contents in the presence of the delivery driver. In the event of an anomaly, the Buyer must refuse the parcel and/or make written, precise and detailed reservations on the transport slip, then report the incident to the Seller within 24 hours at [email protected]. Any acceptance without reservation precludes any subsequent claim.

Holding periods at pickup points: 5 days at a Pickup Station, 14 days at a retail pickup point, 15 days at a post office. After this period, the parcel is returned at the Buyer's expense.

8.4 Parcel returned due to an issue attributable to the Buyer

The Buyer is required to provide a valid and identifiable shipping address. Shipping charges constitute a paid service (even when included in a promotional offer); reshipment following a return is not included in the amount initially paid.

If a parcel is returned because it was not collected, the address could not be found, or due to an error by the Buyer, the Seller may, at its discretion:

  • refund the order, less return costs (equivalent to the actual shipping costs charged by the carrier);
  • reship the parcel at the Buyer's expense.

If the Buyer does not respond despite reminders from the Seller, the parcel will be held pending a response. After a period of 90 days from receipt of the returned goods, the goods may be destroyed, in accordance with the applicable rules on the handling of unclaimed goods.

If the parcel is lost while being returned to the Seller, the carrier will open an investigation. Any compensation owed to the Buyer will be limited to the value of the insurance taken out or provided by the carrier. The Buyer's failure to collect the parcel within the allotted time may limit their right to compensation.

If delivery is refused on grounds of withdrawal: refer to §9.3.

8.5 Manufacturing, availability and transit lead times

Availability lead times are shown on each product page. They depend on stock levels and on each supplier's own manufacturing lead time.

Transit time is added to the product's availability lead time and is not part of it. Therefore, if the Buyer chooses an express carrier for an item that is not immediately available, the order will only be handed over to the carrier on the product's availability date.

8.6 Delivery, quality or conformity issues

Legal reference: French Consumer Code (Code de la consommation), Article L216-2 (as amended by Ordinance No. 2021-1247 of September 29, 2021): the risk of loss of or damage to the goods passes to the consumer when the consumer, or a third party designated by the consumer, takes physical possession of the goods.

Important (signing the carrier's delivery slip): the carrier is a service provider in its own right for your order. By signing the delivery slip without checking the contents, the Buyer releases the carrier from liability. A signature constitutes acceptance. It is therefore essential to check the contents of the parcel in the presence of the delivery driver, before signing anything. A parcel accepted without reservation is deemed compliant and cannot be the subject of any claim.

Procedures applicable depending on the type of issue found:

  1. Defective product or empty/tampered parcel: the Buyer must refuse delivery. If delivery is not refused, the products are deemed compliant and free of any apparent defect. Every delivery is shipped with the "recipient signature" option; any accepted delivery is deemed compliant.
  2. Product not matching the order: the Seller will request a photograph of the product received and will, within 10 days, arrange collection of the product or send a free return label. The correct product will be shipped upon receipt of the return, within the lead times stated in §7.2.
  3. Parcel marked "delivered" but not received (suspected theft): the disappearance of a parcel marked "delivered" by the carrier constitutes theft. The Buyer must, within 24 hours, file a theft complaint against person or persons unknown at the nearest police station. This complaint is required to open the compensation claim. The Buyer must also provide a copy of their ID and complete the compensation claim form provided by the Seller.

9. Right of Withdrawal

Article L. 121-21 of the French Consumer Code provides that:
"The consumer has a period of fourteen days to exercise their right of withdrawal from a contract concluded at a distance, following telephone solicitation or off-premises, without having to give reasons for their decision or bear any costs other than those provided for in Articles L. 121-21-3 to 121-21-5. Any clause by which the consumer waives their right of withdrawal is null and void."

Article L. 121-16-1, III of the French Consumer Code states that:
"Subsections 2, 3, 6 and 7, applicable to relations between consumers and professionals, are extended to off-premises contracts concluded between two professionals where the subject matter of such contracts does not fall within the scope of the main business of the solicited professional and the number of employees employed by the latter is five or fewer."

9.1 Products covered by the right of withdrawal:

In accordance with Article L 121-16 of the French Consumer Code (Code de la Consommation), as amended by the Hamon Law of March 17, 2014, the Buyer has a period of thirty clear days from the date of receipt to return the ordered products for a refund, at the Buyer's own expense (since the withdrawal request is made at the Buyer's own discretion).

9.2 Products not covered by the right of withdrawal, restrictions:

No refund will be issued and no return will be accepted, pursuant to Ordinance No. 2001-741 of August 23, 2001, Art. 5, Art. 12, Official Journal (Journal Officiel) of August 25, 2001, and Ordinance No. 2005-648 of June 6, 2005, Art. 1 I, Official Journal of June 7, 2005, in force on December 1, 2005) of the French Commercial Code, unless otherwise agreed by the parties, for goods made to the consumer's specifications or clearly personalized, or which, by their nature, cannot be returned or are liable to deteriorate or expire rapidly.

The following are made to order: all exhausts and exhaust system components; intercoolers, as well as expansion tanks, reservoirs, radiators, brake lines (and any parts welded and/or assembled to order); strut braces (formed and welded to order); customizations (exhaust tips, markings, engravings, etc.); wheel adapters (PCD).

Personalized products are products purchased as part of a "special" order, such as a product separated from its original packaging unit or any product listed online specifically at the Buyer's request. Examples: suspension parts sold individually or in pairs instead of as a kit, exhaust parts taken out of their kit, various accessories not normally sold individually, products not part of our range but listed online for the specific needs of a particular Buyer.

Please note that bolts and hardware are neither taken back nor exchanged, for obvious safety reasons.

Air filters are only taken back if they are still in their sealed, unopened plastic packaging! Since the product is oiled at the factory, once the bag has been opened it can no longer be kept in stock for long. Please test-fit it in the vehicle's airbox while still in its packaging to make sure it is the correct size.

In view of the applicable intellectual property rules, we remind you that copyable products, such as software, are subject to personal and specific usage rights governing copying, public distribution, and reproduction. As provided for in Article L.121-20-2 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of audio or video recordings or computer software once they have been "unsealed". Accordingly, ECU tuning chips (OEM+, RacingLine, etc.) and electronic control modules (EGR delete cables) are not taken back, in order to protect the computer data they contain.

9.3 In the event of a return:

The return request is considered registered by the Seller only once the Buyer has submitted it, either through their personal account on the Seller's sales platform or by mail using the form provided in section 9.1. The Buyer must select, from the list of orders placed, the product they wish to return. Following this procedure, the return request is registered by the Seller. The Buyer then awaits the Seller's approval. After approval, the Buyer prints the return slip, which is generated automatically, and places it inside the package. The return may be made via the carrier of your choice. However, the goods must be returned to us by tracked shipment with signature on delivery and, where applicable, with insurance taken out with the carrier for the value of the goods, to protect yourself against any loss of or damage to them. During this (return) shipping period, the products remain the responsibility of the Buyer. The package must be returned to the address indicated on the return slip, with the return number clearly marked on the package.

Products must be returned to the Seller in new condition suitable for resale, in their original condition (packaging, accessories, instructions, etc.), properly sealed, and accompanied by the invoice and the certificate of authenticity and/or warranty (if applicable) corresponding to the purchase. For any return request, the Buyer may provide a photograph of the product, before taking any further steps, if the Seller requests it. If the product includes a warranty card or any other document to be completed, it must not be filled out so that the Buyer can exercise their right of withdrawal.

Any product that is incomplete, worn, used, damaged, or whose original packaging has been deteriorated or opened will be neither refunded nor exchanged (a used or defective product will be handled under a warranty where applicable; refer to Article 13.2). If such a product is nevertheless returned, the Seller reserves the right to refuse the return. The Seller may also keep the returned product and hold it at the Buyer's disposal until the Buyer pays the return costs. After a period of 90 days from receipt of goods returned without justification, the goods will be destroyed. Return shipping costs are not refunded, as the return request is made at the Buyer's own initiative.

Important: Choosing Chronopost (La Poste Group) or express shipping for the initial delivery indicates an urgency defined by the Buyer at the time of purchase. When a product initially shipped via Chronopost or any other express carrier is returned, the shipping cost refund will be calculated on the basis of an equivalent Colissimo 48h shipment (La Poste Group).

Returns after the legal deadline: On an exceptional basis and solely with its agreement, the Seller may accept, for certain products, a return after the legal withdrawal period has expired. In this case, please contact customer service to find out the applicable conditions.

In the event of refused delivery on grounds of withdrawal, or failure to collect a package held by a Carrier and/or at a pickup point/post office: the product return costs will be borne by the Buyer (see section 9). In the event of refusal, these costs will be charged to the Seller by the carrier. A flat fee of up to €30 excl. VAT may therefore be deducted from the refund made to the Buyer to recover these return costs. If a made-to-order product, which is therefore not subject to the right of withdrawal (see section 9.2), is refused, the product will be held at the customer's disposal. The product will be kept by the Seller for one year and one day. If not collected by the Buyer, the product will then be destroyed after this period. Any reshipment will be invoiced to the Buyer based on the actual shipping cost. In the event of refused delivery, since our contracts do not insure the value of returned goods, loss of or damage to the returned products will be borne by the Buyer, as if the Buyer had returned the products at their own expense. Please note, however, that your package will be held at your pickup point for 5 calendar days for a Pickup Station locker, 14 calendar days for a retail pickup point, or 15 calendar days for a post office. After this period, it will be returned at your expense in accordance with the provisions set out above.

10. General Refund Conditions

For a cash refund pursuant to the specific provisions of Articles 5 and 9 above, any refund owed by the Seller will be made by bank transfer (eurozone residents), or using the payment method used by the Buyer where it allows (Alma, Paypal, credit card, etc.), no later than fourteen days after receipt of the products subject to the right of withdrawal, provided the return conditions are met (section 9.3). The Buyer's bank account details (RIB) will be requested if necessary. In all cases, the Seller will state the refunded amount when issuing the refund. Customers residing abroad outside the eurozone (individuals or professionals) who paid for their order by a method other than Paypal will be refunded in the form of a store voucher valid for 6 (six) months. We therefore advise them to use Paypal for their purchases, as it makes refunds easier. For any further information, please refer to the specific conditions (Section 20). Under certain conditions, the Seller may accept the return of an item after the legal withdrawal period has expired. In this case, the initial shipping costs will not be refunded. For a product sold with shipping included, the initial shipping cost will be deducted from the price of the returned product (as the shipping cost was initially included in it).

11. Retention of Title

The Seller retains full and complete ownership of the products sold until the price, including principal, fees and taxes, has been paid in full. During the period from delivery until transfer of ownership, the risks of loss, theft or destruction are borne by the Buyer. Failure by the Buyer to meet its payment obligations entitles the Seller to demand the immediate return of the delivered goods at the Buyer's expense and risk.

12. Restrictions Relating to Original Creations, Product Images, Product Descriptions or Computer Software

12.1. Regarding the products offered for sale:

The Buyer undertakes to strictly comply with the terms of use of images and rights to creations, photographs, logos or product licenses, software packages and software, as established by the manufacturers of these products or the publishers of the software and software packages.

The Buyer shall refrain from any act likely to infringe the rights of the authors, their successors in title or the Seller, in its capacity as distributor. The images are the intellectual property of the manufacturers, and any duplication or distribution without authorization is an offense. The Seller informs the Buyer that the images and visuals on the site are provided by the manufacturers or are offered for illustration purposes, are intended solely to represent the products and are not contractually binding. They are also a suggested presentation, and the final result may differ from the illustration photos.

12.2. Regarding media sent by the Buyer to the Seller.

The Seller invites the Buyer to share information about the products ordered. The Buyer may thus send by email photographs or videos of the products they have received and had installed. These videos and photographs will be displayed on the websites used by the Seller (hubshop.fr, social networks, Blog...). The Seller informs the Buyer that this information will in no way be used for advertising purposes, nor sold, nor offered to third-party companies. The purpose of this exchange of information is to allow visitors and future Buyers of these products to learn about their characteristics. This publication is purely informative and community-oriented. Consequently, the Buyer may not claim any compensation of any kind whatsoever in return for the publication of this information. In addition, the Buyer may request the removal of this information upon simple request to the Seller. The Seller reserves the right to remove all or part of the information contained in these media (license plates, details allowing the identification of a person, a company, a group...). The Seller reserves the right to remove or add these media, according to need and relevance.

13. Warranty

13.1. The Products sold by the Seller to the Consumer Buyer benefit from:

- the legal guarantee of conformity under the conditions set out in Articles L. 211-4 et seq. of the French Consumer Code (Code de la consommation),
- the legal guarantee against hidden defects under the conditions set out in Articles 1641 et seq. of the French Civil Code (Code civil), and
- the commercial warranty, if indicated.

The Seller informs the Buyer that all manufacturers require the original packaging to be kept in order to benefit from the warranty. Normal wear and tear of the products is not covered by the warranty. The products are warranted by their manufacturers or their distributors. No warranty of any kind whatsoever is granted by the Seller on the products sold and/or offered for sale, and in particular the Seller in no way warrants that the products are free from defects; the product descriptions are provided solely by the manufacturers or their resellers. The warranty only applies if the products are installed by a professional and you can provide an installation invoice dated prior to the date of the warranty claim. The Buyer may invoke the legal guarantee of conformity and/or the legal guarantee against hidden defects by contacting the Seller.

Commercial Warranty:

Certain products sold are covered by a manufacturer's warranty, the terms and conditions of which vary from one supplier to another. If the product is warranted beyond the legal period (i.e., a commercial warranty), this warranty will be stated in the listing or description of said product. If this statement does not appear, the legal warranty will apply. The terms and conditions and the duration of the warranty for the various products are available on request at the following address: [email protected] or are described below. The Buyer shall be deemed to have requested, reviewed and accepted them. The Seller offers optional warranties, either free of charge or as paid options. Accordingly, the terms "Lifetime Warranty" or 3-year warranty refer to options covering the products for a period of 3 years or 45000 km from the date of purchase, whichever comes first.

Legal Warranty of Conformity:

(Art. L. 211-1 to L. 211-4 of the French Consumer Code)
The professional seller must deliver goods that conform to the contract. Failing this, the seller is liable for any defects existing at the time of delivery, as well as for any defects resulting from the packaging, the assembly instructions or the installation when the latter is the seller's responsibility under the contract or was carried out under its responsibility (L211-4).
Conformity of the Goods
Under L211-5, goods are in conformity when they either:
- are fit for the use normally expected of similar goods and, where applicable
: correspond to the description given by the seller and possess the qualities presented as a sample or model, and offer the qualities that a consumer may legitimately expect based on public statements made by the seller, the producer or its representative (advertising, labeling, etc.). Statements made by these last two professionals are not binding on the seller when the seller is not aware of them and cannot legitimately be aware of them.
- have the characteristics agreed upon by the parties or are fit for any special purpose sought by the buyer, made known to the seller and accepted by the seller.
Time Limits
Legal action under the warranty of conformity is time-barred 2 years after delivery of the goods for goods purchased after March 18, 2016. Any lack of conformity appearing within 2 years of purchase is presumed to have existed at the time of delivery, except for second-hand goods, for which the period remains 6 months.
Exceptions
Under L.211-8, the Buyer may not invoke the warranty of conformity in three cases:
-when the Buyer was aware of the defect at the time of contracting
-when the Buyer could not have been unaware of the defect at the time of contracting
-when the defect results from materials the Buyer supplied.
Legal Warranty Against Hidden Defects
:

(Art. 1641 to 1649 of the French Civil Code)
The seller is bound by the warranty against hidden defects in the item sold that render it unfit for its intended use, or that impair such use to such an extent that the buyer would not have purchased it, or would have paid a lower price for it, had the buyer known of them.
The legal warranty covers all costs resulting from the hidden defects.
The professional is not liable for apparent defects that the buyer could have discovered for themselves, but is liable for hidden defects, even if the professional was not aware of them, unless, in that case, it has stipulated that it will not be bound by any warranty.
The defect must predate the sale and render the products unfit for their intended use.
The buyer may choose to:
-return the item and obtain a refund of the price
-keep the item and obtain a partial refund of the price
The time limit for taking action is 2 years from discovery of the defect.

13.2 Implementation of the Warranty of Conformity and/or the Legal Warranty Against Hidden Defects and/or the Commercial Warranty:

No returns will be accepted without the Seller's prior authorization.

Any return of a product under one of the aforementioned warranties requires the Seller's prior approval. To this end, the Buyer shall contact the Seller's after-sales service, which will provide the appropriate procedure according to the product's Brand. To do so, the Buyer must open an after-sales "ticket" via the "Freshdeck" interface from the contact form.

Through this "after-sales ticket", the Seller may first request one or more clear photographs of the product's problem showing the defect, as well as a written description of the defect and the invoice for installation of the products issued by an automotive mechanics professional and dated prior to the warranty claim. The Seller will send the Buyer a product return number, a detailed form to be completed and enclosed with the product, and a Colissimo label, or will arrange a carrier pickup if necessary. This return number and form, which are an essential and indispensable condition, are valid for seven business days from the date they are sent to the Buyer. After this period, the Buyer must renew the request following the procedure described above. If the Buyer refuses to return the defective product, the problem will be considered resolved and the after-sales request canceled.

The defective product must be returned in its original packaging, complete with the entire product and all of its accessories, and clearly accompanied by the product return number provided by the Seller, the product serial number, the product reference and/or name, and a copy of the installation invoice. Any returned product will undergo an inspection (by the Seller or the manufacturer), taking into account the written description of the defect provided by the Buyer.

After-sales claim rejected: Any product found not to be defective following this inspection will be neither taken back nor exchanged under the warranty, and a flat fee of €80 covering collection and inspection costs will then be charged to the Buyer. The Buyer must then pay the return shipping costs for the product as well as this inspection fee. The product will be kept by the Seller for one year and one day. If it is not collected by the Buyer, the product will be destroyed after this period.

After-sales claim accepted: When the defect is confirmed, the Seller offers the Buyer replacement or repair of the item. The choice is made by the Seller and depends on the solution proposed by the Manufacturer. A repairable product will in all likelihood be repaired; an unusable product will be exchanged. A warranty claim is not a withdrawal request: no refund will be offered unless both of the options described above are impossible, even if the withdrawal period has not expired.

The Buyer may obtain termination of the contract or a price reduction on the item if the defect is major and the time required for the chosen solution exceeds 1 month from the request, or if no remedy is feasible.
No costs may be charged to the Buyer for the replacement, repair, termination of the contract or price reduction. The product found to be defective following the inspection will then be refunded (under the conditions set out in paragraph 9), exchanged or repaired. We are released from any warranty obligation if, during the warranty period, the equipment is entrusted to third parties to check its operation or to repair it, or if supplied parts have been replaced with parts not sourced from our company.

Buyers residing outside the Eurozone should refer to the specific terms.

13.3. With respect to hidden defects that may affect the delivered products, the Seller may only be held liable within the scope of replacing the defective products, or the parts rendering them unfit for their intended use, as being responsible for any harmful consequences that such hidden defects may have caused.

13.4. In any event, the warranties do not cover:

- the replacement of consumables,
- abnormal use or use of the products not in accordance with their specifications (clutch too weak for the vehicle's torque, unsuitable brake pads, etc.),
- damage specifically mentioned in the item listing,
- defects and their consequences resulting from work carried out by the Buyer,
- defects and their consequences resulting from use not in accordance with the product's intended purpose (professional use, collective use...),
- products covered by a specific support and maintenance contract
- use of the products outside the legal framework (auto parts...), and normal wear of the products (tires, exhaust systems, brakes, clutches...).
- Abnormal wear of the product resulting from misuse, failure to follow installation guidelines, or a modification not in accordance with its original specification.

14. Liability

The Seller cannot be held liable for non-performance of the contract in the event of the product being out of stock or unavailable, force majeure, or total or partial disruption or strike, in particular affecting postal services, means of transport and/or communications.

The Seller cannot be held liable for any indirect damage that may arise from the purchase of the products. The Seller cannot be held responsible for any loss of data or files. It is the Buyer's responsibility to make all necessary backups.

The hubshop.fr website and the sales medium also contain information from third parties and links to other websites. Under no circumstances can the Seller be held liable for damage resulting from the use of, access to, or inability to use this third-party information, nor for the content of other websites.

The Seller cannot be held liable if the products sold are used outside the legal framework governing them (law, warranties, insurance of the Buyer). The Buyer is solely responsible for any damage caused to themselves, to their vehicle or to third parties as a result of failure to comply with the laws governing the use of the products sold. It is the Buyer's responsibility to obtain information from qualified persons regarding the laws in force, the compatibility of the purchased products with their vehicle(s) and the standards applicable to the purchased products. The Buyer shall be deemed to have been informed of the risks to their vehicle involved in installing the products ordered from the Seller. As the Seller is not a professional automotive repair shop and has no knowledge of the Buyer's vehicle, the Seller cannot be held liable for any problem occurring on the Buyer's vehicle following the installation of the purchased products, or for any compatibility issue. The Seller therefore advises the Buyer to seek advice from the professional who will install the ordered products, or from any person with expertise in the relevant field, before making the final decision to purchase or install the ordered products. Any product purchased by the Buyer must be installed and/or assembled by a qualified professional automotive repair shop and/or a dealer of the make of their vehicle.

The Seller notifies the Buyer that some of the products sold comply with European and/or French standards, but the Buyer is expressly requested to check with the competent authorities whether the products sold may be used on public roads. The Seller informs the Buyer that modifying their vehicle makes it prohibited from being driven on open roads. All products sold on the Seller's website are prohibited on open roads. Where certain product pages state "road use", this refers to private roads or tracks. The TüV standard is a German standard with no equivalent in France. A product bearing the CE or TüV marking is not guaranteed to be authorized on open roads or to pass the roadworthiness inspection (contrôle technique).

The Seller also notifies the Buyer that the use of certain purchased products may void the various warranties and insurance policies taken out by the Buyer with the various organizations concerned by the use of said products (car insurance, manufacturer warranty, home insurance, etc.). It is the sole responsibility of the Buyer to inform themselves of these risks. The Seller notifies the Buyer that if the Buyer modifies their vehicle, it will no longer comply with the manufacturer's specifications, may no longer meet the applicable standards (European, French, manufacturer, etc.) and may also be refused at the roadworthiness inspection. All products offered for sale that remove, replace or modify emission control systems are strictly prohibited on open roads and are intended solely for motorsport use.

15. Partial Invalidity

If one or more provisions of these terms and conditions are held to be invalid or declared as such pursuant to a law or regulation or following a final decision of a competent court, the remaining provisions shall retain their full force and effect.

16. Non-Waiver

The failure of either party to invoke a breach by the other party of any of the obligations set out in these terms and conditions shall not be construed as a waiver of the obligation in question for the future.

17. Governing Law

Sales of products by JDM distribution are governed by French law. In the event of a dispute, the courts of Bordeaux (France) shall have jurisdiction, but non-professional customers may also refer the matter to the court of their place of residence, located in France.

Consumer mediation: In accordance with the provisions of the French Consumer Code (Code de la consommation) concerning the amicable settlement of disputes, JDM Distribution / Hubshop, as a professional, is a member of the consumer mediation service provided by CM2C (Centre de la Médiation de la Consommation de Conciliateurs de Justice). In the event of a dispute, the Customer may file a complaint on the website www.cm2c.net, or by mail at the following address: CM2C, 49 rue de Ponthieu, 75008 Paris. The consumer must first have attempted to resolve the dispute directly with the JDM Distribution / Hubshop customer service department in writing (email or letter). Only if no satisfactory response has been received within 30 days may the Customer refer the matter to the mediator.

Extended producer responsibility (EPR): packaging, paper, oils and fluids

In accordance with Articles L.541-10 et seq. of the French Environmental Code and Law No. 2020-105 of February 10, 2020 on the fight against waste and the circular economy (AGEC law), the Seller fulfills its producer obligations under the following extended producer responsibility schemes:

  • Household packaging and graphic paper (France): the Seller is registered with ADEME under the unique identifier (IDU) FR456902_01ECMK and is a member of the approved eco-organization Citeo (customer number 50103769). This membership covers French territory only.
  • Oils and fluids (France): the Seller is registered on the Syderep platform under number FR456902_17NKGE as a distributor of oils and fluids.
  • Packaging (Germany): for products shipped to Germany, the Seller has a dual system contract with Lizenzero (Interzero) and is registered in the LUCID register of the Zentrale Stelle Verpackungsregister under number DE1376759764373, in accordance with the German Packaging Act (VerpackG).

The Seller pays the corresponding financial contributions to the eco-organizations. When their cost is passed on to the Customer, it is shown separately on the invoice.

Where required by regulations, the packaging of delivered products intended for the French market bears the Triman logo and sorting instructions (Info-tri). Consumer Customers are asked to sort packaging and paper according to local guidelines. Used oils and fluids must never be poured down the drain, discarded in the environment or disposed of with household waste: they must be taken to an approved collection point or recycling center. Professional Customers remain responsible for the proper management of waste resulting from their activities (packaging, used oils and fluids), in accordance with applicable regulations.

Information on the environmental qualities and characteristics of packaging (recyclability, recycled content, sorting rules) is available on request at [email protected].

18. Data Protection (Informatique et Libertés)

The information collected by the Seller when the Buyer places any order is necessary for the processing of the order by JDM distribution and its business partners.

In accordance with French Data Protection Act No. 78-17 of January 6, 1978 (loi Informatique et Libertés), the Buyer has the right to access, rectify, object to and delete data concerning them by contacting the Seller. JDM Distribution has declared to the CNIL (Commission Nationale de l’Informatique et des Libertés, the French data protection authority) the collection and processing of personal data carried out on this website, in accordance with applicable regulations.

The Buyer will be informed of JDM Distribution offers by email. If the Buyer does not wish to receive these offers, they may object to the use of their contact details by sending an email to the Seller. The Buyer may also notify the Seller by mail at the following address: JJDM Distribution, 4 Rue Henri de Châtelier, 33600 Pessac.

19. Customer Service and Order Tracking

For any information, the Buyer may contact customer service ..... or use the company's telephone contact details (see section 3 of these terms and conditions).

20. Special Conditions

20.1. Specific provisions for Professional Buyers:

These terms and conditions apply to Professional Buyers, with a few exceptions. Accordingly:

the French Consumer Code does not apply to Professional Buyers whose business falls within the Seller's professional field. As a result, the right of withdrawal does not apply. No returns will be accepted due to your professional status. The payment methods available to professionals are: bank transfer, check or SEPA direct debit (if granted by the Seller). Promotional offers are not available to professionals in view of the discounts already applied. You therefore do not benefit from free shipping or promotions valid for private Buyers. The legal guarantee of conformity does not apply.

Regarding the right of withdrawal: Article L. 121-16-1, III of the French Consumer Code (Code de la consommation) states that:
"Subsections 2, 3, 6 and 7, applicable to relations between consumers and professionals, are extended to off-premises contracts concluded between two professionals where the subject matter of such contracts does not fall within the scope of the main activity of the professional solicited and the number of employees employed by the latter is five or fewer."

Regarding commercial discounts granted to professional customers. Discounts granted to professional customers are not a matter of right. The Seller reserves the right to apply them or not, to all or part of its customers, and to all or part of its catalog, without having to justify the reason. Discounts may also change according to commercial agreements with the brands and according to currency exchange rates. They may be larger or smaller depending on the customers and/or the products. Any change and/or full or partial application remains at the Seller's discretion, and no reason may be requested from the Seller. They may therefore change at any time for any reason whatsoever. The Seller reserves the right to delete or deactivate a trade account without any reason.

20.2 Specific provisions for Buyers residing in the French overseas departments and territories (DOM-TOM):

These general terms and conditions of sale apply to Buyers residing in the DOM-TOM, with a few exceptions. Accordingly:

Product prices and shipping costs are stated excluding tax. When the Buyer is identified on the sales platform, the products are displayed at prices excluding tax. The order is therefore recorded, payment made and the invoice issued without any tax. It is therefore the responsibility of the Buyer residing in the DOM-TOM to pay customs duties, dock dues (octroi de mer) and any applicable taxes or duties to the competent authorities. Parcels are shipped with an invoice and the customs documents required for customs clearance. The Seller specifies that shipping costs, transit times and/or available carriers can be viewed directly from the cart, without having to create an account. To do so, click the "cart" button in the "Cart" block at the top of the right-hand column of the sales platform. Transit times by carrier are available on our dedicated Lead Times and Shipping page. Buyers residing in the DOM-TOM are not eligible for free shipping.

20.3. Specific provisions for Buyers outside the Eurozone:

consumer law does not apply to Buyers outside the Eurozone. As a result, the right of withdrawal does not apply. No returns will be accepted. The authorized payment methods are bank transfer or Paypal. Buyers residing outside the Eurozone are not eligible for free shipping. Product prices and shipping costs are stated excluding tax. For residents with deliveries to Morocco, Algeria or Tunisia, we do not handle shipping issues. You alone are able to contact the competent local authorities. We decline all liability for lost, damaged or surcharged parcels. No right of withdrawal will apply.
